ARTICLE XX — QUORUM

Section XX.1 — Establishment of Quorum
 
A quorum for any meeting of the Annual Convention at which business is conducted shall exist only when both of the following conditions are met:
 
            (a) Chapter Representation Requirement
 
A majority of all affiliated chapters in good standing are represented by at least one (1) duly certified delegate present in person or authorized electronic participation.
 
            (b) Delegate Representation Requirement
 
A majority of the total authorized delegate positions of the organization are present and seated.
 
Section XX.2 — Definition of Total Authorized Delegate Positions
 
For purposes of quorum:
 
Each affiliated chapter in good standing is entitled to the number of  delegates as stated in Article VIII Section 2.
 
The total authorized delegate positions shall be calculated as:
 
    Number of affiliated chapters in good standing times the number as stated in Article VIII Section 2
 
This number shall not be reduced by:
    Failure of a chapter to appoint delegates
    Failure of delegates to attend
    Vacancies or unfilled delegate positions
 
“No chapter may have more than eight (8) delegates seated or counted for quorum under any circumstance.”

Section XX.3 — Certification and Seating of Delegates
 
Only delegates who are:
    Properly certified by their chapter, and
    Accepted by the Credentials Committee
shall be counted toward quorum under Section XX.1(b).
 
Section XX.4 — Independent Requirements
 
The requirements of Section XX.1(a) and Section XX.1(b) are independent and cumulative:
 
Satisfaction of one requirement shall not satisfy or substitute for the other.
Both requirements must be met simultaneously to establish or maintain quorum.

Section XX.5 — Loss of Quorum
 
If at any time during the meeting quorum is no longer present:
 
1)   No binding business may be conducted, except:
a)   Recess
b)   Adjournment
c)   Measures to reestablish quorum

Section XX.6 — Determination of Quorum
 
The Credentials Committee shall:
 
   Determine and report:
    Total number of affiliated chapters in good standing
    Total authorized delegate positions
    Number of chapters represented
    Number of delegates certified and seated
    Provide an official quorum report prior to the conduct of business
